EMERGENT RESPIRATORY PRODUCTS, INC. ACQUISITION BY KING SYSTEMS CORPORATION


IRVINE, CALIF. -April 16, 2007 - Emergent Respiratory Products, Inc. President and Chief Executive Officer, Hans Gregory Wood, announced today a two-step acquisition of the company by King Systems Corporation ("King Systems"), an Indiana corporation and subsidiary of Bespak, PLC, a public company listed on the London Stock Exchange ("Bespak").

King Systems invested $3 million on April 13, 2007 for a 51% equity stake in Emergent. This initial investment will be used to increase Emergent's pre-hospital sales organization and leverage the opportunities from King Systems and Bespak's range of proprietary airway management products. The remaining 49% of the Company will be acquired by King Systems from Emergent shareholders between 2009 and 2011, upon exercise of an option by King Systems at a pre-determined multiple of Emergent's profits, but in any event subject to a maximum deferred consideration of $35 million.

Emergent's patented Continuous Positive Airway Pressure (CPAP) products offer a range of benefits over competing products. CPAP is non-invasive and supplies oxygen "on demand" to conscious, spontaneously breathing patients.

The acquisition of Emergent is highly complementary to King Systems' anesthesia and airway management business. Mr. Wood will continue as Chief Executive Officer of Emergent through the option exercise period.

CPAP, which is indicated for patients with congestive heart failure, pulmonary edema, and asthma attacks, is an alternative to intubating patients while they are transported to the hospital, thus potentially reducing the length and cost of hospital stays, reducing the risk of infection, and improving patient outcomes. The CPAP market is small, but is growing rapidly in the U.S. and Europe.
